1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and SKUFLO LLC, a company incorporated in the United States of America ("Skuflo," "we," "us," or "our"), governing your access to and use of the Skuflo website at skuflo.co and our supply chain management platform and related services (collectively, the "Services").

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use our Services.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Skuflo provides a cloud-based supply chain management platform including warehouse management, logistics coordination, supplier collaboration, analytics, and related integrations. The specific features and functionality available to you depend on the subscription plan you have purchased.

We reserve the right to modify, update, or discontinue any aspect of the Services at any time, with or without notice. We will endeavour to provide reasonable advance notice of material changes.

3. Accounts & Registration

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with third parties
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation
• Transmit any material that is unlawful, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorised access to any part of the Services or related systems
• Introduce viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated tools to scrape, crawl, or extract data from the Services without our written consent
• Resell, sublicense, or otherwise commercialise access to the Services without our written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

5. Intellectual Property

Our Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, icons, and data — are owned by or licensed to SKUFLO LLC and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

Your Data

You retain ownership of all data you upload to or generate within the Services ("Customer Data"). By using the Services, you grant us a limited, non-exclusive licence to process your Customer Data solely to provide and improve the Services. We will not use your Customer Data for any other purpose without your consent.

6. Payment & Billing

Pricing for the Services is provided upon request and agreed in a separate order form or subscription agreement. Unless otherwise stated:

• Fees are due in advance for each billing period
• All fees are non-refundable except as required by applicable law or as expressly stated in your order
• We reserve the right to modify pricing with 30 days' written notice
• Failure to pay may result in suspension or termination of your account

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services ("Confidential Information"), and to use such information only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKUFLO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO SKUFLO LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving notice. We may also suspend or terminate your access immediately if we believe you have violated these Terms or that continued access poses a risk to the Services or other users.

Upon termination, your right to use the Services ceases immediately. We will provide you with a reasonable opportunity to export your Customer Data before deletion.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date and, where appropriate, by email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
